Please read these Terms of Service carefully before using DigiU’s website, platforms, or services. By accessing or using our services, you agree to be bound by these terms.
DigiU Pty Ltd (ABN 43 671 018 107) is an Australian digital transformation and AI consulting company. Our registered office is at Level 23, Tower 5, Collins Square, 727 Collins Street, Melbourne VIC 3008.
DigiU operates digiu.com.au and delivers DigiTalent, DigiLabs, DigiOps, DigiTransform, Planify, CompliX, and Nova.
By accessing or using DigiU’s website, any DigiU platform, or any services provided by DigiU, you agree to be legally bound by these Terms of Service, our Privacy Policy, and any additional terms applicable to specific services.
If you do not agree to these Terms, you must not access or use our website or services. Your continued use following publication of updated Terms constitutes acceptance of those changes.
When registering, you agree to provide accurate and complete information, keep your password secure, notify DigiU immediately of any unauthorised use, and accept responsibility for all activities under your account.
You must not use our services to violate any applicable law; transmit unsolicited communications; impersonate DigiU or any other person; introduce malware; attempt unauthorised access; scrape data without consent; reverse engineer our software; or for any unlawful purpose.
Breach of these provisions may result in immediate suspension or termination of your access and may constitute a criminal offence.
The DigiU website, all platforms (including Planify, CompliX, and Nova), software, designs, trademarks, and all other content are owned by or licensed to DigiU Pty Ltd and protected by Australian and international IP laws.
You retain ownership of your Client Content. By submitting it to DigiU, you grant us a non-exclusive, royalty-free licence to use it solely as necessary to provide the services to you.
Each party agrees to keep confidential all non-public information disclosed by the other party and to use it only for the purpose of exercising rights and fulfilling obligations under these Terms. This obligation survives termination for three (3) years.
All fees are quoted in Australian Dollars (AUD) exclusive of GST, and are non-refundable except as expressly stated or required by the Australian Consumer Law. Invoices are due within thirty (30) days of the invoice date.
DigiU may charge interest on overdue amounts at 2% per annum above the RBA cash rate. DigiU may suspend services if payment is outstanding for more than fifteen (15) days past the due date following written notice.
Nothing in these Terms limits or excludes any rights or guarantees you have under the Australian Consumer Law that cannot be excluded, restricted, or modified.
Subject to the above, DigiU’s total aggregate liability shall not exceed the total fees paid in the three (3) months preceding the event giving rise to the claim. DigiU shall not be liable for indirect, incidental, special, consequential, or punitive damages.
You agree to indemnify and hold harmless DigiU from any claims, liabilities, damages, and costs (including legal fees) arising from your violation of these Terms, your Client Content, your use of services in an unauthorised manner, or your violation of any applicable law.
DigiU’s collection, use, and disclosure of personal information is governed by our Privacy Policy, available at digiu.com.au/privacy-policy. Where DigiU processes personal information on your behalf, DigiU acts as a data processor and you act as the data controller.
DigiU’s platforms may integrate with third-party services (including Twilio, ElevenLabs, WhatsApp Business, Mailgun, Zapier, and Stripe). These are governed by their own terms. DigiU is not responsible for the availability, accuracy, or policies of third-party services.
DigiU may suspend or terminate your access immediately if you breach these Terms and fail to remedy within five (5) business days of notice; if you become insolvent; if required by law; or where continued provision poses a security or legal risk.
Upon termination, your licence terminates immediately. All accrued payment obligations survive. Clauses relating to IP, confidentiality, limitation of liability, and dispute resolution continue to apply.
The parties agree to first attempt resolution by good-faith negotiation. If unresolved within twenty (20) business days, either party may refer the dispute to mediation in Melbourne, Victoria. If mediation fails, the parties submit to the exclusive jurisdiction of the courts of Victoria, Australia.
DigiU reserves the right to modify these Terms at any time. Material changes will be notified by posting updated Terms with a revised date, emailing registered users, and/or displaying a prominent notice. Continued use after the effective date constitutes acceptance.
Governing Law
These Terms are governed by the laws of Victoria, Australia.
Entire Agreement
These Terms, together with the Privacy Policy and any applicable service agreements, constitute the entire agreement between you and DigiU.
Severability
If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions continue in full force.
Force Majeure
DigiU will not be liable for failure or delay caused by circumstances beyond our reasonable control including acts of God, pandemic, war, government action, or telecommunications failure.
Assignment
You may not assign these Terms without DigiU’s prior written consent. DigiU may assign these Terms in connection with a merger, acquisition, or sale of assets.
